Mergers and Acquisitions

Objective:
Corporate mergers and acquisitions have become universal practices around the globe. In a globalised era, mergers take place not only within the nation but also across the border for survival, growth, expansion and achieving different objectives. The opening up of Indian economy is also supportive of these activities. The ever increasing number of M & A activities only suggests that this is going to stay. The objective of this course is to familiarize the participants with various aspects of mergers and acquisitions.

Session 1
: Introduction, Basic concepts, Main Forms of Corporate Restructuring
Session 2
: Forms of Corporate Restructuring - Merger, Consolidation, Acquisition, Divestiture, Demerger, Carve-out, Joint Venture, Motives behind Merger and Synergies
Session 3
: Legal framework governing M&A- Companies Act, 1956, SEBI, Competition Act
Session 4-6
: Valuation of Target Companies- Concept of value, Asset based Valuation Approach, Capitalization of Earnings Approach, Cash Flow based Approach, Dividend Discount Model, Cost of Capital
Session 7
: Due Dilligence process in M&A,
Session 8-9
: Accounting issues- Accounting standards 14, Methods of Accounting, Accounting for Demerger
Session 10-11
: Taxation aspects- Capital Gains Tax, Carry Forward and Set off of Losses and Unabsorbed Depreciation
Session 12
: Takeover Defences- Friendly versus Hostile Takeovers , Takeover tactics, Successful Takeover Tactics in India, Defence Tactics
Session 13
: Funding of Acquisitions- Methods of effecting payment of consideration, Sources of funds
Session 14-15
: Corporate Demergers, Splits and divisions, Reverse merger, Leveraged buy-out,
Evaluation Pattern:
1. Quiz: 30 marks
