COURSE OUTLINE
OBJECTIVES :

To familiarize the students with principal laws regulating business
-
To enable the students to interpret various legal provisions regulating business and learn applying them through an exposure to case made laws.
-
To equip the students with minimum legal framework for starting a business venture and running it successfully in conformity with legal parameters.

Scope and subject matter of Company Law:
1. Meaning and Nature of Company :
Definition, Characteristics, Lifting the Corporate Veil, Advantages and Disadvantages of Incorporation
2. Types of Companies, Shares and Shares Capital:
Private and Public Companies, Statutory Company, Limited Liability Companies, Unlimited Companies, Sec. 25 Companies, Government Companies, Foreign Companies.
Meaning and Nature of a Share, Share vrs. Stock, Kinds of Shares, Issue of Shares at Premium, Issues of Shares at Discount, Buyback, Sweat Equity, Share Warrant, Re-conversion of Warrant into Shares, Bonus Shares, Rights Shares.
3. Formation and Incorporation of Companies
:
Promotion, Incorporation Procedure, MOA (Meaning, Contents, Alteration), AOA, Effect of MOA and AOA, Doctrine of Indoor Management, Doctrine of Constructive Notice
4. Company Management
:
Directors:
